These terms apply when you use Upgrow Connect, a product of Upgrow operated by Upgrow Academy LLP, Manalvayal, Kariyambadi Post, Wayanad District, Kerala 673591, India ("we", "us"). By creating an account or using the service, you agree to these terms on behalf of your business.

The service

Upgrow Connect is software for using the official WhatsApp Business Platform (Cloud API): a shared inbox, contacts, templates, broadcasts, auto-replies, chat flows, ad tracking and integrations. Features marked "coming soon" are not yet available and may change.

Your account

You must give accurate details and keep your password safe. You are responsible for what happens in your account, including your team members' actions.
You must be authorised to act for the business you sign up for.

WhatsApp and Meta rules

You must follow WhatsApp's Business Messaging Policy, Commerce Policy and Meta's terms. Meta may limit, suspend or ban a number that breaks them, and we cannot reverse Meta's decisions.
Only message people who have agreed to hear from you, and honour opt-out requests. STOP and START replies are always respected by the service.
Meta reviews your display name and templates. Approval is Meta's decision.
Meta bills WhatsApp conversation charges directly to your WhatsApp Business account. These are separate from our plan price.

Acceptable use

You must not use Upgrow Connect to send spam, unlawful, misleading, abusive or harmful content, to message people who have not opted in, or to attempt to break, overload or misuse the service. We may suspend accounts that do.

Free trial, plans and payments

Every new account gets a 7-day free trial. No card is needed.
After the trial, choose a paid plan to continue. If you don't, your account pauses; new WhatsApp chats are still saved, and the service resumes when you pay.
Plans are paid in advance, monthly or yearly, by UPI, card or netbanking through Razorpay. Prices are in INR and exclude 18% GST. A GST invoice is issued for every payment.
There is no auto-debit. You renew yourself, and we email you before your plan ends.
You can change plans anytime. The new plan starts immediately, and unused value from your current plan is converted to extra days.
Payments are not refundable for a period that has already started, except where the law requires a refund or we decide otherwise in a specific case. To ask about a refund, email info@upgrowconnect.com.
Plan limits (numbers, team members, broadcasts, flows, integrations, deliveries and storage) are shown on the pricing page and in Billing. We may change prices for future periods with notice.

Your data

Your WhatsApp number, contacts and messages belong to you. We use them only to provide the service, as described in our Privacy Policy. You are responsible for having the right to message your contacts and to share their data with the integrations you switch on.

Availability

We work to keep the service running, but we do not promise it will always be available or error-free. It depends on Meta and other providers outside our control.

Liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, lost data, or for actions taken by Meta on your number. Our total liability for any claim is limited to the amount you paid us in the 3 months before the claim.

Ending the service

You can stop using the service anytime and ask us to delete your account. We may suspend or close an account that breaks these terms or Meta's policies, or that has not paid.

Changes to these terms

We may update these terms. If the changes are significant, we will tell customers by email or in the app before they take effect.

Governing law

These terms are governed by the laws of India. Courts in Wayanad District, Kerala have jurisdiction.
